Introduction
Welcome to Koladen. Koladen is an AI-native intelligence and modernization platform designed for community banks and financial institutions. By accessing or using our platform, you agree to be bound by these Terms and Conditions. Please read them carefully. If you do not agree, do not use Koladen.
Use of the Service
Eligibility. To use Koladen, your institution must be a licensed financial institution operating in compliance with applicable federal and state banking regulations. Individual users accessing the platform on behalf of an institution must be at least 18 years old and authorized to act on that institution's behalf.
Account Registration. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for safeguarding your credentials and all activity under your account.
License. Subject to these Terms, Koladen grants your institution a non-exclusive, non-transferable, revocable license to access and use the platform strictly in accordance with these Terms.
Data and Privacy
Bank Data: Koladen accesses your institution's core banking data solely to provide the services described in your agreement. We do not sell, share, or use your institution's data for any purpose outside of service delivery. Data handling is governed by your executed Data Processing Agreement with Koladen.
Customer Data: You represent that you have all necessary rights, consents, and authorizations to share customer data with Koladen for the purposes described in your service agreement.
Security: Koladen maintains industry-standard security practices to protect your data. You agree to notify us immediately of any suspected unauthorized access or breach.
Prohibited Uses
You agree not to:
Use Koladen for any unlawful purpose or in violation of any applicable banking, financial, or data privacy regulations.
Attempt to reverse engineer, copy, or replicate any part of the Koladen platform or its underlying models and algorithms.
Share access credentials with unauthorized users inside or outside your institution.
Use Koladen in any manner that could damage, overburden, or impair the platform or interfere with other institutions' use of the service.
Use outputs from Koladen as the sole basis for material financial decisions without appropriate human review and oversight.
Fees and Payment
Service Fees. Fees for the Koladen platform are set forth in your institution's executed order form or service agreement, and are based on your institution's selected tier and any applicable revenue-sharing arrangements. By executing an order form, your institution agrees to pay all fees and applicable taxes described therein.
Billing and Invoicing. Fees are invoiced in accordance with the terms of your order form, typically on an annual or negotiated billing cycle. Payment is due within the timeframe specified in your agreement. Late payments may result in suspension of access as described in your service agreement.
Term and Renewal. Your institution's subscription term is set forth in your order form and will renew in accordance with its terms unless either party provides notice of non-renewal as specified in the agreement.
Refunds. Except as required by law or as specified in your order form, fees are non-refundable.
Regulatory Status
Koladen's embedded investing offering involves planned registration as a Registered Investment Adviser and reliance on third-party custodial partnerships. These are forward-looking elements of our roadmap and are not yet finalized. Any features referencing investment advisory services or custodial execution are subject to change and will be clearly identified as such until fully operational and compliant.
Termination
Koladen may suspend or terminate your access immediately and without prior notice if you materially breach these Terms or your service agreement, or if we reasonably believe continued access poses a security or compliance risk. Upon termination, your right to access the platform ceases immediately. Data return and deletion procedures are governed by your Data Processing Agreement.
Limitation of Liability
To the fullest extent permitted by law, Koladen, Inc., its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses arising from:
Your use or inability to use the platform.
Any unauthorized access to your account or data stored within the platform.
Any interruption or cessation of service.
Any reliance on platform outputs without appropriate human oversight.
Changes to the Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days written notice. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law provisions.
